Job description

 Lead the execution of buy-side and sell-side transactions, managing the timeline from the initial Letter of Intent (LOI) to final closing.

Oversee the development of sophisticated valuation models, including DCF, comparable company analysis, and precedent transactions.

Lead the negotiation of core transaction documents, specifically the Purchase Agreement (SPA/APA), Disclosure Schedules, and Shareholder Agreements.

​Ensure a seamless transition from the deal team to the integration team.

​​Collaborate with legal and tax advisors to design deal structures (e.g., asset vs. stock purchase, earn-outs, or equity rollovers) that maximize value and minimize risk.

 Synthesize complex diligence reports to identify "deal-breakers" or valuation adjustments.

Critically review financial audits and QofE reports to ensure the target's normalized EBITDA aligns with the valuation model.
